These Terms and Conditions ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Housdy Technologies Private Limited [FILL IN: CIN], a company incorporated in India with its registered office at [FILL IN: registered office address] ("Housdy", "we", "us", or "our"), governing your access to and use of the Housdy platform, websites, and services (the "Platform").
By accessing or using the Platform, creating an account, completing a profile, submitting an enquiry, listing a property, or purchasing credits, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Platform.
1. Eligibility and acceptance
- You must be at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872.
- If you use the Platform on behalf of a company, firm, or other entity (for example, as a builder, developer, broker, agency, or loan advisor), you represent that you are authorised to bind that entity, and "you" refers to both you and that entity.
- You agree to comply with all applicable laws in connection with your use of the Platform.
- We may, at our discretion, refuse, restrict, suspend, or terminate access to the Platform to any person at any time, subject to applicable law.
2. Definitions
- Buyer means a User who uses the Platform to search for, compare, or enquire about residential property or related services.
- Business User means a builder, developer, broker, agent, loan advisor, or other commercial User that lists properties or projects, receives Buyer leads, or otherwise uses the Platform for commercial purposes.
- Listing means any project, property, unit, or service made available on the Platform by a Business User.
- Lead means a Buyer's contact details and non-sensitive preference summary made available to relevant Business Users, as described in our Privacy Policy.
- Credits means the prepaid units that Business Users may purchase and spend to access certain features, including revealing Leads and generating reports.
- Content means any text, images, data, listings, reviews, messages, or other material submitted to or made available through the Platform.
3. Nature of the Platform; our role as an intermediary
- Housdy is a technology platform that facilitates discovery of, and connections between, Buyers and Business Users. We provide search, preference-based matching, compatibility scoring, listing display, lead facilitation, and related tools.
- We do NOT own, sell, purchase, lease, develop, broker, value, or finance any property. We are NOT a real-estate agent, broker, developer, builder, lender, or financial advisor, and we are NOT a party to any transaction, agreement, negotiation, or dealing between a Buyer and a Business User or between any Users.
- We act as an "intermediary" within the meaning of the Information Technology Act, 2000 and are entitled to the protections available to intermediaries, including under Section 79 of that Act. We do not author, verify, endorse, or guarantee Listings or other Content provided by Users.
- Any contract for the sale, lease, booking, financing, or provision of any property or service is concluded solely between the Buyer and the relevant Business User (or other third party). All negotiations, payments, bookings, due diligence, title verification, documentation, and disputes in relation to any such transaction are strictly between those parties. We have no responsibility or liability in respect of them.
- We do not guarantee that any Buyer will find a suitable property, that any Listing is available or accurately described, that any Business User will respond, or that any transaction, sale, lease, or loan will be concluded.
4. Accounts, registration, and security
- You agree to provide accurate, current, and complete information when you register and to keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
- You may not create an account using another person's identity, impersonate any person or entity, or create multiple accounts to abuse Platform features, credits, or limits.
- We may verify your information and may suspend or terminate accounts that are inaccurate, fraudulent, duplicated, or used in breach of these Terms.
5. Buyer terms
- The preferences, profile, household, and other information you provide are used to compute matches and to facilitate connections. You are responsible for the accuracy of the information you provide.
- By completing a profile, submitting an enquiry, requesting a callback, or initiating contact (including by WhatsApp or call), you consent to your contact details and a summary of your non-sensitive preferences being shared with relevant Business Users so that they may contact you, as described in our Privacy Policy. You may exercise the choices and rights described there.
- Compatibility and match scores, rankings, and reports are informational estimates only (see Section 8). You are solely responsible for conducting your own due diligence -- including verifying title, approvals, RERA registration, area, pricing, possession status, and legal compliance -- and for obtaining independent professional advice before making any decision or payment.
- You must not use the Platform to harass Business Users, to submit false enquiries, or to collect Listing data for any purpose other than your own genuine property search.
6. Business User terms
If you use the Platform as a Business User, the following additional terms apply.
- Authority and accuracy: You represent and warrant that you have the lawful right and authority to list each property or service, that all Listing information (including price, area, configuration, location, possession status, approvals, and RERA registration number where applicable) is true, accurate, current, and not misleading, and that you will promptly update or remove Listings that become inaccurate or unavailable.
- Regulatory compliance: You are solely responsible for complying with all laws applicable to your activities, including the Real Estate (Regulation and Development) Act, 2016 ("RERA") and the rules made under it, advertising and consumer-protection laws, and tax laws. Where RERA registration is required, you must hold valid registration and display it accurately. We do not verify RERA registration or any other regulatory status and accept no responsibility for your compliance.
- Use of Leads: You may use Lead information only for the legitimate purpose of responding to and following up on the relevant Buyer's interest, and in compliance with applicable law, including data-protection and do-not-disturb / unsolicited-communication regulations. You become an independent data fiduciary in respect of Lead information you receive and are responsible for your own handling of it. You must honour opt-out and do-not-disturb requests.
- No circumvention: You must not use the Platform to harvest contact details in bulk, to build a competing database, or to circumvent the Platform's credit, fee, or lead-pacing mechanisms.
- Content licence: You grant us the licence described in Section 13 for the Content you upload, and you are responsible for ensuring you have all rights necessary to grant it (including rights to photographs and project information).
7. Listings and third-party content
Listings and other Content are provided by Users and other third parties. We do not author, verify, endorse, or guarantee any Listing or Content, including its accuracy, completeness, legality, availability, price, or quality. Listings, prices, availability, and offers may change or be withdrawn at any time without notice. Any reliance you place on a Listing or on Content is at your own risk, and you should independently verify all material details directly with the relevant Business User and from official records before acting.
8. Matching, scores, rankings, and reports
The Platform computes compatibility scores, match scores, rankings, and reports by applying a proprietary algorithm to the preferences you provide and to Listing data. You acknowledge and agree that:
- these outputs are informational estimates intended only to help you organise and prioritise your search;
- they are NOT advice, a valuation, an appraisal, a recommendation, an endorsement, a warranty of suitability, or a representation that any property is a good investment or a good fit;
- a high or low score does not guarantee, and should not be relied upon as an indication of, the actual suitability, quality, legality, or value of any property; and
- the scoring methodology, weights, and outputs are our confidential and proprietary intellectual property, and you must not copy, reverse engineer, scrape, or commercially exploit them.
9. Artificial-intelligence-generated content
Parts of the Platform, including listing narratives, match explanations, and portions of reports, are generated with the assistance of artificial-intelligence tools. Such content may be inaccurate, incomplete, or outdated, and is provided without warranty. You must independently verify any AI-generated content before relying on it. AI-generated content does not constitute professional advice of any kind.
10. Loan and financial information
- We are not a bank, non-banking financial company, lender, deposit-taker, or investment, financial, or tax advisor, and we are not regulated by the Reserve Bank of India in any such capacity.
- Any loan eligibility indicators, EMI calculators, interest-rate references, or similar tools on the Platform are indicative estimates for general information only, are based on assumptions and inputs that may not reflect your circumstances, and do not constitute an offer, sanction, or commitment of any loan or financial product.
- Any loan or financial product is offered solely by the relevant lender or loan advisor on its own terms, and you must satisfy that provider's eligibility, documentation, and approval requirements. You should obtain independent professional advice before taking any financial decision.
11. Fees, credits, payments, and taxes
- Use of the Platform by Buyers may be free or subject to fees as displayed. Business Users may be required to purchase Credits or subscriptions to access certain features.
- All fees and Credit prices are as displayed on the Platform at the time of purchase and are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes, including Goods and Services Tax (GST).
- Payments are processed through third-party payment gateways (including Razorpay). By making a payment, you agree to the applicable gateway's terms. We do not store complete card or bank details.
- Except as required by applicable law or as expressly stated in a specific offer, all payments and Credits are non-refundable, and Credits are non-transferable and may expire as stated at the time of purchase. Credits have no monetary value outside the Platform.
- We do not guarantee any minimum number of leads, enquiries, responses, conversions, or results from the purchase or use of Credits or any paid feature.
- You agree not to initiate fraudulent chargebacks. We may suspend access and recover amounts due in the event of a wrongful chargeback or non-payment.
- We may change our fees, Credit prices, and plans prospectively, with notice where required.
12. Acceptable use
You agree that you will not, and will not permit others to:
- use the Platform for any unlawful, fraudulent, or harmful purpose, or in violation of these Terms or any applicable law;
- post or transmit any Content that is false, misleading, defamatory, obscene, infringing, discriminatory, or otherwise objectionable, or that you do not have the right to post;
- scrape, crawl, harvest, data-mine, index, frame, mirror, or use automated means to access or extract data from the Platform, except as we expressly permit;
- copy, reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, scoring methodology, or database structure of the Platform;
- circumvent, disable, or interfere with security, access controls, credit, fee, or lead-pacing mechanisms, or usage limits;
- harvest or collect other Users' personal data or contact details except as expressly permitted for a legitimate purpose under these Terms;
- introduce viruses, malware, or other harmful code, or attempt to gain unauthorised access to the Platform or its systems;
- impersonate any person or misrepresent your affiliation; or
- use the Platform to send spam or unsolicited communications in violation of applicable law.
We may investigate and take appropriate action, including removing Content, suspending or terminating accounts, and reporting to authorities.
13. User Content and licence
- You retain ownership of the Content you submit. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, adapt, publish, display, and distribute that Content for the purposes of operating, promoting, and improving the Platform, for the duration permitted by law.
- You represent and warrant that you own or have all necessary rights to the Content you submit and that it does not infringe any third party's rights or violate any law.
- You are solely responsible for your Content. We are not obligated to monitor Content but may remove or disable access to any Content that we believe, in our discretion, violates these Terms or applicable law, or in response to a valid complaint or legal request.
- If you believe Content on the Platform infringes your rights or is unlawful, you may notify our Grievance Officer (Section 22).
14. Intellectual property
The Platform, including its software, design, text, graphics, logos, trademarks, scoring methodology, databases, and all related intellectual property, is owned by or licensed to Housdy and is protected by applicable laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. No other rights are granted. You may not use our trademarks or branding without our prior written consent.
15. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share personal data. By using the Platform, you consent to such processing and confirm that any personal data you provide about others (including household members) has been provided with appropriate authority and consent.
16. Third-party links and services
The Platform may contain links to, or integrate with, third-party websites, services, and content (including payment gateways, maps, and media). We do not control and are not responsible for third-party services or content. Your use of them is at your own risk and subject to their terms.
17. Disclaimers
To the maximum extent permitted by applicable law, the Platform and all Content, Listings, scores, reports, tools, and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement.
Without limiting the foregoing, we do not warrant that: the Platform will be uninterrupted, timely, secure, or error-free; any Listing, score, report, or Content is accurate, complete, current, lawful, or reliable; defects will be corrected; or the Platform is free of viruses or harmful components. Any material you rely on is at your own risk.
18. Limitation of liability
To the maximum extent permitted by applicable law:
- we, our affiliates, and our officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, opportunity, or anticipated savings, arising out of or relating to the Platform or these Terms, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages;
- we will not be liable for any loss or damage arising from your dealings with any Business User, Buyer, or other third party, from any Listing or Content, from any transaction (including any sale, lease, booking, or loan), or from your reliance on any score, report, or AI-generated content; and
- our total aggregate liability arising out of or relating to the Platform or these Terms will not exceed the higher of (a) the total amount you paid to us for the Platform in the [FILL IN: e.g. three (3)] months immediately preceding the event giving rise to the claim, or (b) INR [FILL IN: e.g. 5,000].
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for fraud or for death or personal injury caused by gross negligence). Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the fullest extent permitted.
19. Indemnification
You agree to indemnify, defend, and hold harmless Housdy and its affiliates and their respective officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your Content or Listings; (c) your breach of these Terms or applicable law; (d) your dealings or transactions with any other User or third party; or (e) your violation of any third party's rights.
20. Suspension and termination
- You may stop using the Platform and may request closure of your account at any time.
- We may suspend or terminate your access, remove Content, or close your account, with or without notice, if we believe you have violated these Terms or applicable law, if required to protect the Platform or other Users, or as otherwise permitted by law.
- Upon termination, your licence to use the Platform ends. Provisions that by their nature should survive termination (including Sections 8, 11, 13, 14, 17, 18, 19, 21, and 22) will survive.
21. Grievance redressal and intermediary obligations
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020, we have appointed a Grievance Officer to receive and address complaints regarding Content and use of the Platform.

We will acknowledge complaints within the timelines prescribed by applicable law and endeavour to resolve them expeditiously. We may remove or disable access to Content that violates these Terms or applicable law upon receiving a valid complaint or order.
22. Force majeure
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labour disputes, power or internet failures, or failures of third-party service providers.
23. Changes to the Platform and to these Terms
We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where required, provide additional notice. Your continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
24. Governing law, jurisdiction, and dispute resolution
- These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
- Subject to the arbitration provision below, the courts at [FILL IN: city, e.g. New Delhi] shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

25. General

- Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire agreement: These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and us regarding the Platform and supersede prior agreements on the subject.
- Notices: We may provide notices to you by email, by posting on the Platform, or by other reasonable means. You may contact us using the details below.
- Relationship: Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and us.
- Language: These Terms are drawn up in English, which will be the governing language.
